2. No Legal or Tax Representation

Almaec provides business support, documentation assistance, taxation-related support, and consulting services.

Unless specifically stated in writing, our services do not create an attorney-client relationship, CPA-client relationship, or any licensed professional-client relationship. We are not a law firm and do not provide legal representation in courts or before government authorities.

For specific legal, tax, accounting, or compliance advice, you should consult a qualified attorney, CPA, enrolled agent, or licensed professional.

3. Client Responsibilities

By using our services, you agree to:

• Provide accurate, complete, and updated information

• Submit required documents on time

• Review all information before submission

• Ensure your business activities comply with applicable laws

• Pay all applicable government fees, service fees, renewal fees, taxes, penalties, and other charges

• Respond promptly to requests for information or verification

• Keep copies of all documents and records provided to you

Almaec is not responsible for delays, rejection, penalties, or losses caused by incorrect, incomplete, false, outdated, or delayed information provided by the client.

4. USA LLC Formation Services

For USA LLC formation services, we may assist with preparation, filing coordination, documentation, and related support.

Processing times may vary depending on:

• State government processing timelines

• Accuracy of client information

• Availability of required documents

• Government holidays or delays

• Third-party service provider timelines

• Payment confirmation

We do not guarantee approval, processing speed, or acceptance by any government agency or third-party authority.

5. Taxation Services

Our taxation-related services may include assistance with tax forms, tax filing coordination, tax documentation, or general tax support, depending on the selected service.

The client remains responsible for:

• Accuracy of financial and tax information

• Timely filing and payment of taxes

• Maintaining proper records

• Compliance with federal, state, and local tax laws

• Reviewing tax forms before submission

Almaec is not liable for penalties, interest, audits, rejected filings, or tax consequences arising from inaccurate or incomplete information provided by the client.

6. Web Development Services

For web development services, the project scope, timeline, pricing, revisions, deliverables, and maintenance terms will be defined in the proposal, invoice, or written communication.

Unless otherwise agreed in writing:

• Website content must be provided by the client

• Delays in providing content, images, access, or approvals may delay the project

• Revisions are limited to the agreed scope

• Additional features, pages, integrations, or changes may require additional charges

• Hosting, domain, premium plugins, paid themes, third-party tools, and licenses are not included unless clearly stated

7. Payments and Fees

Clients agree to pay all fees as mentioned in the invoice, proposal, or service agreement.

Payment terms may include:

• Advance payment before starting work

• Partial milestone payments

• Final payment before delivery, submission, or launch

• Additional charges for extra work beyond the agreed scope

All fees are due as per the agreed payment schedule. Failure to make payment may result in delay, suspension, or cancellation of services.

8. Government and Third-Party Fees

Government filing fees, state fees, registered agent fees, payment gateway charges, tax authority charges, hosting fees, domain fees, software fees, and other third-party costs may be separate from Almaec’s service fees unless clearly included in writing.

Such third-party fees are generally non-refundable once paid or submitted.

9. Refund Policy

Refunds are handled based on the nature and stage of the service.

Unless otherwise stated in writing:

• Service fees are non-refundable once work has started

• Government fees and third-party fees are non-refundable

• No refund will be issued for delays caused by the client

• No refund will be issued if the client provides incorrect or incomplete information

• No refund will be issued after documents, filings, website files, or service deliverables have been submitted, delivered, or completed

Any approved refund will be processed at Almaec’s discretion after reviewing the case.

10. Revisions and Changes

For web development and digital services, limited revisions may be included as per the agreed package or proposal.

Additional revisions, design changes, new pages, extra features, or changes after approval may be charged separately.

For business formation and taxation services, changes after submission to government agencies or third parties may not be possible or may require additional fees.

11. Timelines and Delays

We make reasonable efforts to complete services within the estimated timeline. However, timelines are estimates and not guarantees.

Delays may occur due to:

• Government processing times

• Third-party provider delays

• Incomplete client information

• Delayed approvals

• Technical issues

• Payment delays

• Changes in project scope

• Force majeure events

Almaec is not responsible for losses caused by delays beyond our reasonable control.

12. Communication

We may communicate with clients through email, phone, WhatsApp, website forms, project management tools, or other agreed channels.

The client is responsible for regularly checking communication and responding in a timely manner.

13. Intellectual Property

For web development projects, ownership of final website design and custom-developed content may be transferred to the client after full payment, unless otherwise agreed in writing.

Almaec may retain rights to:

• Pre-existing templates, tools, frameworks, code libraries, and processes

• Internal methods, know-how, and systems

• Portfolio display of completed work, unless the client requests confidentiality in writing

The client must ensure that any content, images, logos, trademarks, or materials provided to Almaec do not infringe third-party rights.

14. Website Content and Compliance

Clients are responsible for the accuracy, legality, and compliance of all content published on their website.

Almaec is not responsible for claims, penalties, copyright issues, regulatory issues, or losses arising from client-provided content or business activities.

15. Third-Party Services

Our services may involve third-party platforms, tools, agencies, payment processors, hosting providers, domain registrars, government portals, registered agents, tax platforms, or software providers.

We are not responsible for third-party errors, downtime, policy changes, pricing changes, data loss, rejection, delays, or service interruptions.

Use of third-party services may be subject to their own terms and privacy policies.

16. Limitation of Liability

To the maximum extent permitted by law, Almaec shall not be liable for:

• Indirect, incidental, special, or consequential damages

• Loss of profits, revenue, business, data, or goodwill

• Government rejection, penalties, or delays

• Any loss beyond the amount paid to Almaec for the specific service involved

17. Indemnification

You agree to indemnify and hold harmless Almaec, its partners, employees, contractors, and representatives from any claims, damages, losses, liabilities, costs, or expenses arising from:

• Your use of our services

• Your business activities

• Incorrect or incomplete information provided by you

• Your violation of these Terms

• Your violation of any law or third-party rights

• Content or materials provided by you

18. Confidentiality

We take reasonable steps to keep client information confidential. However, we may disclose information when required to provide services, comply with law, process filings, work with third-party providers, or protect our rights.

19. Termination of Services

We reserve the right to refuse, suspend, or terminate services if:

• The client fails to make payment

• The client provides false, misleading, or incomplete information

• The client requests illegal, unethical, or prohibited services

• The client behaves abusively or unprofessionally

• Continuing the service may create legal, financial, or reputational risk for Almaec

In such cases, refunds may not be issued for work already completed or costs already incurred.

20. Prohibited Use

You agree not to use our website or services for:

• Illegal or fraudulent activities

• Money laundering or tax evasion

• Misrepresentation or false documentation

• Infringement of intellectual property rights

• Spam, hacking, malware, or harmful online activities
